Terms of Service

These terms govern your use of the Ferraro Nova Inc. ordering platform (“Ferraro,” “the Platform”). By creating an account or using the Platform, you agree to these terms.

1. Who can use the Platform

Two kinds of accounts exist:

Restaurant accounts — businesses that sign up to offer pickup ordering to their customers. Created by Ferraro after a sales conversation; managed by the restaurant's designated owner.
Staff accounts — people invited by a restaurant owner to receive and fulfill orders.

You must be at least 18 years old and have the legal authority to agree to these terms on behalf of the business you represent.

2. The service

Ferraro provides software that lets restaurants:

Display their menu to customers in a branded online storefront
Accept pickup orders
Manage incoming orders from an admin app (tablet or web)
Send customers transactional email about their orders
Configure business hours, pricing, taxes, and brand styling

Ferraro is a software platform. We are not a party to the transaction between a restaurant and its customers. The restaurant is responsible for fulfilling orders, complying with local food-safety and business regulations, and resolving customer disputes about the food.

3. Fees

Restaurants pay a flat monthly subscription fee — no per-order commission, ever. The current fee schedule is set out in your signup agreement.
Online payment processing is not currently enabled. When enabled in a future release, it will be handled by Stripe. Stripe charges a separate processing fee that's passed through directly — Ferraro does not take a cut.
Subscription fees are billed in advance and are non-refundable except as required by law.

4. Your responsibilities (restaurant)

You agree to:

Keep your account credentials secure; you're responsible for what staff with access do under your account
Honor the orders your platform accepts (or cancel them promptly with a reason if you can't fulfill)
Comply with all applicable laws — food safety, sales tax, employment, consumer protection
Not use the platform to sell anything that isn't food or food-related
Not misrepresent your business, prices, or what's included in an item

5. Your responsibilities (customer)

You agree to:

Place real orders that you intend to pick up and pay for
Provide an accurate name, email, and phone number so the restaurant can contact you about your order
Not use the platform to harass restaurants, place fake or fraudulent orders, or attempt to disrupt service

6. Acceptable use (everyone)

You may not:

Reverse-engineer, decompile, or otherwise attempt to extract the source code of the platform
Use the platform to send spam, malware, or anything illegal
Attempt to access another restaurant's data, customer data, or staff accounts
Run automated load testing or scraping without our written consent
Interfere with the platform's normal operation (rate-limit evasion, denial-of-service attempts, etc.)

We reserve the right to suspend or terminate any account that violates these terms.

7. Content and intellectual property

Restaurant content (logo, menu, photos, hours) remains the property of the restaurant. By uploading it you grant Ferraro a worldwide, royalty-free license to use, host, and display it as necessary to operate the platform on your behalf.
Customer order data is the property of the placing customer and the receiving restaurant.
The platform itself — software, design system, brand — is the property of Ferraro Nova Inc.

8. Data and privacy

How we collect and use information is described in our Privacy Policy. By using the platform you agree to that policy.

9. Service availability

We aim for high availability but don't guarantee uninterrupted service. We may take the platform offline for maintenance, updates, or in response to security incidents. We're not liable for losses caused by downtime except as required by law.

10. Disclaimer of warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED — INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FERRARO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR COST OF SUBSTITUTE GOODS.

These limits don't apply where prohibited by law (e.g., for gross negligence, fraud, or where consumer-protection law overrides).

12. Indemnification

You agree to defend and hold Ferraro harmless from claims arising from:

Your use of the platform in violation of these terms
Your fulfillment (or non-fulfillment) of orders placed through the platform
Any food-safety, allergen, or regulatory issue connected to your business

13. Termination

You can cancel anytime by contacting ferrarosystems@gmail.com. After cancellation, you have 90 days to export your data; after that it's permanently deleted (except where retention is required by law).
We can suspend or terminate your account for breach of these terms, non-payment, or to comply with legal obligations. We'll give you notice unless doing so would itself cause harm.

14. Changes to these terms

We may update these terms. Material changes will be posted on this page with a new “Last updated” date and, for restaurants, emailed to the account owner at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing law

These terms are governed by the laws of Manitoba, Canada, without regard to conflict-of-law principles. Any dispute will be resolved in the courts of Winnipeg, Manitoba, except where you have a non-waivable right to bring claims in your local courts under consumer-protection law.
